Overview
The Northwestern Mutual Law Department is seeking an experienced and agile investment attorney to join a diverse, challenging, and fast-paced practice advising on a wide range of issues as the Company transforms how clients experience financial security. This attorney will be a member of the Law Department’s Institutional Investments Team and will support the Company’s $350+ billion investment portfolio, providing legal advice on matters relating to the institutional investment portfolio across public and private asset classes.
Responsibilities
- Serve as a trusted advisor to investment professionals reviewing and negotiating complex, multi-million dollar domestic and foreign investments including First Lien, Second Lien, Senior Unsecured, Unitranche, Mezzanine, HoldCo PIK, Preferred Equity, Common Equity, Structured and Project Finance, Private Credit, Limited Partnerships and/or Syndicated Bank Loans.
- Provide legal support for asset management activities related to the investment portfolio, including amendments and waivers, restructurings, bankruptcies, realizations, and regulatory matters.
- Advise company leaders and investment professionals on initiatives including M&A, capital markets transactions, investment fund formations, venture capital investments, joint ventures, management of third-party capital, and other transactional matters.
Qualifications
- Five to 15+ years of legal experience in one or more areas: corporate finance, commercial lending, structured finance, private equity, private credit, securities offerings, fund formation, and private fund investment. Bankruptcy and restructuring or M&A experience is a plus.
- Ability to analyze a variety of legal issues, synthesize complex information, and provide solution-oriented legal advice to business professionals across the enterprise.
- Juris Doctorate degree with exemplary academic record; license to practice law in Wisconsin or a commitment to become licensed within the first year of employment is required.

Compensation
- Pay Range - Start: $149,380.00
- Pay Range - End: $277,420.00
- Geographic pay structures may apply in certain locations; final salary based on skills, experience, location, and hiring process factors.
