About the Role A mid-sized law firm is seeking a motivated Corporate/Transactional Attorney with 3–5 years of lateral experience to join its team. This role offers the opportunity to work on a diverse mix of sophisticated matters including general corporate law, contracts, and M&A transactions.
Responsibilities
Corporate governance and compliance
Contract drafting, review, and negotiation
Mergers & acquisitions (M&A) transactions
Due diligence and risk assessment
Entity formation and structuring
General corporate advisory
Healthcare law/regulatory compliance
Tax law knowledge / LL.M. in Tax
Legal research and analysis
Drafting purchase agreements, operating agreements, shareholder agreements, and bylaws
Preferred Qualifications Strong drafting, negotiation, and analytical skills. Ability to manage multiple matters independently while working in a collaborative team environment. Excellent communication and client service skills. Prior experience handling complex transactions preferred.
