The Compliance Manager oversees policies, procedures, and standards to ensure Sierra Health Foundation and The Center at Sierra Health Foundation (Foundation) follow all ethical and legal requirements related to the acceptance of third-party funds and the pass-through of third-party funds to subrecipients. In collaboration with the programs and finance teams, the Compliance Manager oversees subrecipient audit compliance, develops procedures, and assesses potential risks. The Compliance Manager ensures that the Foundation follows all relevant laws, regulations, and standards of our business activities, and champions the legal and ethical integrity of the organization by enforcing our policies and standards. The Compliance Manager provides subject matter expertise on all issues related to compliance management. Essential Duties And Responsibilities
Prime Award Compliance Contributes to the preparation and submission of third-party funder applications. Gains a thorough understanding of all compliance requirements and required deliverables for third-party prime agreements. Supports the negotiation of unfavorable or burdensome terms and conditions in the prime agreement. Prepares, routes, and manages the Compliance Matrix during the award phase. Reviews the executed prime agreement with the program and finance teams, citing what to look out for from a compliance and risk standpoint using the Compliance Matrix. Subaward Compliance Manages the Pre-Award Risk Assessment (PARA) process and provides insight on how the results impact the determination of subaward agreements, subrecipient monitoring, technical assistance, and capacity building needs. Provides a compliance review of the Request for Application (RFA) prepared by programs teams. Assists the programs teams with the appropriate subrecipient versus subcontractor determinations. Participates in the development of the subaward agreement templates. Adapts subaward agreement templates by refining clauses, ensuring that flow-down provisions are accessible and understandable to subrecipient organizations, determining the need for a Single Audit Act verification. Provides subrecipient Single Audit reviews, as applicable. Supports the kick-off of each program by providing guidance to the Contracts Administrators as they prepare their presentations. Assists in monitoring subcontractors, subrecipients, independent contractors and grantees’ compliance with the funder’s requirements, the Foundation’s policies, and applicable law. Meets regularly with the Deputy Controller and grant accountants to discuss compliance issues, concerns, and challenges. Develops written procedures to assess potential risks of subrecipient’s non-compliance and keeps accurate and thorough records of all subrecipient non-compliance issues. Collaborates with programs and finance teams to develop training that ensures employees and subrecipients follow compliance rules, regulations and responsibilities including donor restrictions, and understands the importance of being good stewards of donor funding. Manages the prime agreement closeout process. Whistleblower Compliance Develops and implements policies and procedures to address Whistleblower complaints received from anonymous reporting channels or from subrecipient self-reporting. Manages non-compliance issues from investigation to communication and resolution. Collaborates with leadership to address ethical violations or compliance issues and reports finding and proposed solutions. Informs key stakeholders about Whistleblower complaints, including status, resolution, and closeout. Develops Fraud, Waste, and Abuse (FWA) policies and procedures for sub-awardees and external partners. Other Duties Develops risk mitigation strategies. Develops and implements policies and procedures to ensure compliance with laws and regulations. Establishes metrics and key performance indicators to evaluate the effectiveness of compliance programs and communicates results to key stakeholders. Engages with legal counsel, as directed. Performs other duties as assigned. Supervisory Responsibilities This position may supervise lower-level compliance staff. Qualifications
Education And/Or Experience
Bachelor’s degree; advanced degree preferred with 5+ years of experience in the legal, regulatory or compliance field. Deep understanding of risk and control concepts related to business. Thorough understanding of 2 CFR 200 (Uniform Administrative Requirements, Cost Principles, and Audit Requirements for Federal Awards). Experience with federal and California state funding and grant administration preferred. Strong analysis and administration capability; effective interpersonal skills, sound decision making, and ability to successfully prioritize conflicting demands. Previous experience working in or with philanthropy or the public sector in a compliance role is a plus. Language Skills
Excellent oral and written communication skills, including public speaking, presentation, and group facilitation skills. Ability to effectively articulate risks, mitigation proposals and link common themes to stakeholders at various levels of the organization. Ability to read, analyze and interpret policies, laws, and regulations. Ability to read and interpret standard financial reports and legal documents. Ability to effectively present information to top management, public groups, and/or Board of Directors. Ability to work with colleagues and partners from diverse backgrounds and to simplify complicated terms and conditions into easy-to-understand concepts. Computer Skills
Employee must be proficient in Windows, Microsoft Office, Outlook, database software, online meeting software and internet use. Experience with Salesforce CRM and contract lifecycle management software (e.g., Conga, Coupa, Ariba) is highly desirable. Other Skills And Abilities

Sierra Health Foundation offers a competitive salary and benefits package. The hiring range for this position is $119,000 to $130,000 annually. As part of the Foundation’s commitment to compensation, equality and transparency, our practice is not to consider salary counters above this hiring range.
