Job Description:
Perkins Coie LLP is seeking an experienced Corporate Paralegal to join our Emerging Companies & Venture Capital practice group. The Paralegal will assist lawyers and clients with high-level corporate and transactional duties, maintain client contacts, observe confidentiality, and oversee corporate maintenance for a diverse client base.
As part of our professional support team, the Senior Paralegal will promote and uphold the firm's reputation, demonstrating the highest standards of conduct and confidentiality.
Essential Functions
Maintain client confidentiality and positive relationships.
Draft and file incorporation, formation, amendment, dissolution, and withdrawal documents for various business entities.
Conduct UCC searches; prepare UCC-1 and UCC-3 financing statements.
Maintain organized corporate records and filings.
Prepare and distribute corporate documents and UCC statements.
Draft securities transfer agreements.
Manage closings for financings, mergers, and acquisitions.
Conduct diligence reviews and summarize findings.
Organize electronic data sites; manage shareholder communications and filings.
Perform legal research on statutory requirements.
Train and supervise other paralegals; coordinate workloads.
Collaborate with external vendors to fulfill attorney and client requests.
Required Skills
Strong organizational, analytical, and communication skills.
Accurate time management.
Effective working relationships with lawyers, staff, and clients.
Proficiency in proofreading, redlining, and document comparison.
Knowledge of California and Delaware corporate law, securities laws, and private M&A.
Proficiency in Microsoft Office, Adobe Acrobat, and Excel.
Experience with Carta, Shareworks, or similar platforms.
Ability to exercise discretion and independent judgment.
Preferred Skills
Experience with public company matters and secured lending is a plus.
Education & Experience
6-8 years as a corporate paralegal with public/private companies.
4-year degree or equivalent; paralegal certificate preferred.
