Draft, review, and organize corporate governance documents, including bylaws, operating agreements, and resolutions. Prepare and file entity formation and dissolution documents with state and federal agencies. Manage corporate minute books, stock ledgers, and maintain compliance with filing requirements. Assist with due diligence reviews and closings for mergers, acquisitions, and real estate transactions. Draft and proof contracts, deeds, leases, and other transaction‑related documents. Conduct legal research and prepare summaries for attorney review. Support attorneys in litigation matters by organizing case files, managing discovery, and assisting with trial preparation when needed. Communicate professionally with clients, opposing counsel, and regulatory agencies. Qualifications of the Corporate Paralegal

Minimum of 3 years of paralegal experience, preferably in corporate or real estate law (litigation experience a plus). Bachelor’s degree and/or Paralegal Certificate from an accredited institution. Strong understanding of corporate compliance, entity filings, and real estate documentation. Proficiency in Microsoft Office Suite and legal research tools (Westlaw, LexisNexis). Exceptional attention to detail, organizational skills, and ability to manage multiple priorities. Excellent written and verbal communication skills. Familiarity with Rhode Island and Massachusetts state filing procedures (highly preferred). Equal Opportunity Employer
