The Counsel will provide comprehensive legal support and guidance on a wide range of issues related to the life sciences industry, including but not limited to contracts, compliance, acquisitions, data processing and intellectual property. This role requires a deep understanding of the legal and regulatory landscape affecting life sciences companies, the ability to work efficiently in a high-volume, high-pressure environment, and collaboration with different departments within the organization. Key Responsibilities
Draft, review, and redline a wide variety of contracts and supporting documentation, including master services agreements, vendor agreements, statements of work, fee-for-service agreements, contractor agreements, non-disclosure agreements, third party data access agreements, licensing agreements, and partnership agreements. Engage in direct negotiations and discussions with Trinity’s clients and vendors. Review and evaluate risks associated with various US and international privacy regulations (e.g., GDPR compliance). Work closely with in-house counsels to support Trinity’s business endeavors, including the ability to conduct legal review of various contractual agreements with minimal oversight. Assist in acquisition support/integration, such as drafting letters to clients and vendors regarding acquired entities. Provide prompt legal support and guidance to Trinity leadership and management teams. Review and complete RFP/RFI questionnaires and vendor forms. Collaborate with Trinity client and project teams in support of business goals, including developing professional services rate cards, discounts, and rebates. Answer questions regarding current agreements, including effective dates and discounts and rates. Collaborate with internal business partners including Compliance, HR, and IT. Mentor junior team members to maximize team efficiency and impact. Perform administrative tasks as needed, such as signing documents and electronic filing. Qualifications
Juris Doctor (J.D.) degree from an accredited law school and a minimum of 6+ years of experience, with preference for life sciences/pharma industry experience. Experience with regulatory compliance, intellectual property, and contract law is essential. Significant redlining, contract review, and negotiation experience. Knowledge of applicable healthcare, compliance, and privacy laws (e.g., Sunshine Act, Anti-Kickback Statute, pharmacovigilance requirements, HIPAA, GDPR, CCPA, CPRA). Detail-oriented with excellent organizational skills. Strong sense of ownership, responsibility, and customer service orientation. Ability to work independently and as part of a team in a fast-paced, high-pressure environment. Strong analytical and problem-solving abilities. Compensation and Location
Salary range:
$115,000 - $145,000
annually. In addition to base salary, eligible for an annual discretionary performance bonus. Location: Massachusetts, United States.
