Our client, a prominent AmLaw 100 firm, is seeking a Senior Corporate Paralegal. This role will focus on M&A, Capital Markets and Startups. This position can be based in either the Peninsula or San Francisco office locations.
The role has a 3 in office and 2 remote hybrid schedule.
Responsibilities
Manage IPO and public company tasks, including registration statements, ownership tables, SEC reporting, and shareholder transactions.
Oversee stock exchange applications, FINRA filings, transfer agent onboarding, and closing documentation.
Conduct due diligence, including organizing data sites, capitalization research, and regulatory filings.
Draft and coordinate signing and closing documents, shareholder mailings, and prepare closing volumes.
Support the incorporation of tech and life sciences companies, corporate records management, and venture capital financings.
Administer stock option plans, conduct blue sky research, and manage equity through platforms like Carta and Shareworks.
Qualifications
5+ years of corporate and transactional experience in a law firm.
Undergraduate degree and / or a paralegal certificate from an ABA-approved program.
Experience in capitalization maintenance platforms such as Carta and ShareWorks.
Strong communication, research and organizational skills.
Experience with Excel spreadsheets.
Salary Up to 160K. May be flexible depending on experience.
