General Counsel
Position Summary The Ursa Major legal team works with the entire company to achieve business objectives at a fast pace. The Corporate Counsel role will report to the General Counsel, running point on a variety of day-to-day legal tasks. In this role, the Corporate Counsel will also help scale the business by creating and implementing processes to support the company’s rapid growth and evolving complexities. We are looking for a nimble person who is willing to roll up their sleeves and step out of their comfort zone. While this person should have deep familiarity with contract negotiations, a successful candidate is willing to think outside the box and address unfamiliar areas confidently as new issues arise.
Responsibilities
Draft, review, and negotiate a variety of complex commercial contracts (including government contracts, non-disclosure agreements, purchase and supply agreements with both vendors and customers, consulting and services agreements, and information technology and software license agreements).
Address contractual issues by working with other departments to determine the contract history and appropriate action (termination, product issues, warranties, non-performance, etc.).
Partner with compliance function to ensure Ursa Major contractual obligations comply with applicable laws, rules, and regulations.
Team with various departments within the company to align contract negotiation with Ursa Major’s policies and objectives.
Identify and evaluate business and legal risks; strategize mitigation plans prioritizing Ursa Major’s business goals.
Ability to thrive in a constantly changing environment as Ursa Major rapidly grows, prioritizing multiple projects and meeting deadlines with little oversight.
Perform other legal duties as may be required from time to time, including legal research, improvement of processes and documentation, and employee training.
Respond promptly to internal legal requests.
Draft, update and implement internal and external company policies, procedures, and processes.
Organize existing contracts and assist in maintaining contract management system.
Qualifications
JD from an ABA accredited law school
At least 8 years of legal experience
Preferred prior in-house experience
Ability to obtain a top secret security clearance
Experience advising on and addressing contractual and legal issues prior to and after contract completion
Ability to be flexible and prioritize workload based on urgency
Extreme attention to detail, specifically in written communication and contract drafting
Business acumen to balance legal risk with Ursa Major’s goals, creatively strategize solutions, and work with the internal team to guide the company towards success
Highly responsive with a service-oriented attitude and demonstrated sense of ownership to drive matters to conclusion
Ability to make complex legal issues clear and digestible to the rest of the team
Motivated by solving hard technical and business challenges with a dedicated and industry-leading team
Familiarity with aerospace industry
Experience scaling a high-growth startup
Intellectual property and licensing expertise
Experience in a highly regulated industry
Experience with FARS and DFARS
Compensation Colorado law requires us to tell you the base compensation range of this role, which is $120,000 - $180,000, determined by your education, experience, knowledge, skills, and abilities. The salary range for this role is intentionally wide as we are evaluating individuals based on their unique experience and abilities to fit our needs.
