Assistant General Counsel, Contracts

who will report to the Deputy General Counsel in the Office of the General Counsel (OGC) in the Legal Division. OGC provides legal advice and related services in areas including legal compliance, risk management, litigation, and all aspects of business law.

Purpose and Engagement

Purpose:

This position supports drafting of grants and contracts within the National Office and ensures compliance with policies and processes, working with other departments, vendors and stakeholders as necessary. The Assistant General Counsel, Contracts will provide top-notch legal support and organizational support to meet the needs of the various departments in the National Office, and serve as the lead attorney for the Grants Management and Procurement Teams. Engagement:

The role will engage with executive leadership and staff, and stakeholders across all levels of the National Office to build collaborative and effective partnerships.

Delivery (Responsibilities)

Draft and review contracts, agreements, grants, sponsorships, commercial co-ventures, intellectual property licenses, and related legal documents. Knowledge of corporate transaction and contracting processes, including drafting, reviewing, revising and negotiating business agreements. Create and update contract templates. Coordinate with the Contract Administration team in Finance to provide legal assistance on contract administration. Work with internal legal staff and outside counsel to ensure the National Office is conducting business safely. Implement OGC initiatives, including education and enforcement of compliance with organizational policies, as well as state/federal regulations and industry standards. Interact with organizational clients, stakeholders, and business partners. Adapt to changing demands and shifting priorities, delivering first-rate legal advice and services. Other matters and duties, as assigned, related to national office transactional, litigation, practice management and other legal affairs.

Qualifications (KSAs)

Juris Doctor (JD) from an ABA-accredited law school. Bar Admission: Eligible to practice in New York or Washington, DC. At least four years of legal experience, including substantial counseling, drafting and negotiation in commercial transactions and related areas. Knowledge of corporate transaction and contracting processes, including drafting, reviewing, revising and negotiating business agreements. Familiarity with, and affinity for, the ABA Manual of Style for Contract Drafting (strongly preferred). Exceptional research, analytical, and problem-solving skills; ability to think strategically and creatively about legal and business issues. Ability to provide sound business advice and high-quality legal counsel to partners at all levels, including executive leadership. Excellent interpersonal skills and ability to manage relationships with diverse stakeholders. Ability to develop collaborative relationships with fellow attorneys, staff, and clients. Demonstrated agility, adaptability, and practicality in providing legal advice. Excellent judgment and experience in risk analysis and determinations. Ability to excel under pressure in a fast-paced, innovative environment while maintaining strong collaboration. Sound command of the law of contracts. Experience in reviewing and drafting grant agreements (preferred). General knowledge of other legal frameworks applicable to the National Office, including federal tax exemption and state nonprofit laws. Ability to work independently and prioritize without direction. Unflinching commitment to exceptional work products. Excellent written and verbal communication skills, including translating complex legal concepts for a broad audience.

Travel

0-10% domestic travel.

Compensation and Benefits

Salary range:

$125,000 - $140,000

per year. Total offer package includes generous vacation and sick leave, paid holidays, individual/family medical, dental and vision benefits effective day 1, life insurance, short/long term disability, paid family leave, and 401k. Voluntary opt-in for Flexible Spending Account (FSA) and Transportation/Commuter accounts are also available.

Location and Scheduling

Roles that are denoted as NYC, DC, or both will work a hybrid schedule with a minimum of 2 days per week in the PPFA office unless onsite designation requires full-time onsite work.
