Scope and Purpose
The In-House Counsel – Securities ("Counsel") will be working within the in-house legal department of Intesa Sanpaolo S.p.A., New York Branch, part of Intesa Sanpaolo’s Corporate and Investment Banking Division.
Counsel will support the Branch’s Head of Legal in the day-to-day management of the legal affairs of (i) the Branch, and (ii) Intesa Sanpaolo IMI Securities Corp. (the "Broker Dealer"), the U.S.-registered broker dealer of the Intesa Sanpaolo Group.
Counsel’s work will include, but not be limited to: drafting, review and/or negotiation of financing and securities-related agreements; providing general advice on U.S. securities laws; and handling the corporate governance for both the Broker Dealer and its direct parent IMI Capital Markets USA Corporation.
Required Experience 3-5 years in the same role.

Excellent contract drafting and negotiating skills
Ability to identify and analyze complex legal issues and devise solutions and strategies
An excellent work ethic and commitment to professionalism; excellent attention to detail
Professional, confident demeanor and superior analytical skills
Superior organizational, prioritization, and time management skills with the ability to execute multiple, high-priority projects
Specific knowledge of U.S. securities laws and regulations and U.S. broker-dealer legal practice; exposure to bank financing transactions a plus
Ability to anticipate and understand the implications of agreements, and contractual provisions, including identifying and assessing potential risks and impacts
The salary range for this position is 160k $-23k $
