Role Summary
We are seeking an organized, detail-oriented, and proactive Paralegal to join our corporate Legal Department. The role involves providing essential legal support to attorneys, managing corporate legal documents and records, conducting legal research, drafting contracts, ensuring compliance with relevant laws and regulations, and supporting various corporate transactions while interfacing with external law firms.
Key Responsibilities
Contract Management: Review, draft, and organize corporate contracts, including service agreements, NDAs, employment agreements, vendor contracts, and licensing agreements. Maintain and administer a DocuSign CLM contract repository.
Filing and Document Management: Manage and organize legal files, ensuring all relevant documents are correctly filed and maintained in accordance with company policy. Maintain a secure document retention system. Manage document collection and witness availability for depositions and hearings.
Compliance and Risk Management: Assist in monitoring corporate compliance programs, including anti-corruption, anti-money laundering, and other regulatory obligations. Help prepare compliance reports and manage compliance documentation.
General Administrative Support: Provide general administrative assistance, including scheduling meetings, coordinating with external counsel, tracking legal expenses, and assisting with budget administration.
Qualifications
Education: Bachelor’s degree required. Completion of an accredited paralegal program preferred.
Experience: Minimum of 5 years of experience as a paralegal in a corporate law department or law firm.
Skills:
Strong document drafting and editing skills.
Excellent attention to detail and organizational abilities.
Proficient with Microsoft Office Suite and legal research tools.
Proficiency with DocuSign CLM software.
Ability to manage multiple tasks simultaneously and meet deadlines.
Knowledge of corporate legal terminology and regulatory frameworks.
Certifications: Paralegal certification (e.g., NALA, NFPA) is preferred but not required.
