Office of Corporate Secretary and Governance Paralegal
First Citizens Bank is looking for an experienced legal professional to join its Corporate Secretary and Governance Paralegal team.
Overview This hybrid role requires presence in the office on Tuesdays, Wednesdays, and Thursdays, with additional days as needed to support board and committee needs.
Responsibilities
Board Support – Assist with managing the firm’s Holding Company and Bank legal entities, and with board governance and corporate secretary duties.
Director Information – Coordinate and assist with annual Directors’ and Officers’ questionnaires, proxy statement, and other governance filings; maintain corporate books and records.
Maintaining Protocols and Templates – Review and maintain corporate secretary processes, identify enhancements, and maintain protocols and templates; conduct research and analysis.
Documentation – Draft, revise, and maintain governance documents, resolutions, agendas, consents, executive summaries, minutes, letters, checklists, legal forms, templates, and other documents.
Meeting Preparation – Coordinate board and committee meeting preparation, including agenda setting, material review, minute shells, and board member requests.
Materials Review – Pre‑review board materials for compliance with guidance prior to posting; enter relevant information in the tracking tool for reports.
Communication – Communicate with directors, officers, and business leaders via in‑person, telephone, videoconference, and email; maintain professionalism and effectiveness.
Qualifications
Bachelor’s Degree and 2 years of experience as a Paralegal or Legal Assistant, or High School Diploma/GED and 6 years of experience as a Paralegal or Legal Assistant.
Preferred Qualifications
Relevant Associate’s or Bachelor’s Degree.
At least 5 years of experience as a Paralegal or Legal Assistant in a law firm, corporate legal department, or equivalent.
Experience supporting senior corporate leaders and boards of directors.
Experience in banking, regulatory, corporate law, or governance in financial services.
ABA‑approved paralegal certification program completion (plus).
Additional Requirements
Strong communication (oral & written).
Excellent organization and detail orientation.
Collaboration and relationship‑building skills.
Business and legal ethics awareness.
High integrity.
Customer service skills.
Ability to manage multiple projects under tight deadlines.
Proficiency with Microsoft Office and willingness to learn new software.
