Position Overview We are seeking a
Corporate Associate
with 3-7+ years of experience to join a busy corporate practice. This role offers the opportunity to work closely with partners and firm leadership while managing meaningful client matters and taking initiative. Candidates should be comfortable working independently while providing regular updates, asking the right questions, and proactively advancing transactions.
The work is diverse, spanning mergers and acquisitions, corporate governance, entity formation, contracts, and general business counseling, offering exposure to a variety of deal sizes and industries.
Key Responsibilities
Manage and assist with a broad range of corporate and transactional matters, including M&A, joint ventures, restructurings, and business formations
Draft, review, and negotiate transaction documents and contracts
Lead due diligence efforts and advise clients on deal structure, risk mitigation, and corporate governance
Collaborate directly with clients and partners on strategic matters
Proactively manage workstreams, communicate status updates, and take ownership of deal progression
Conduct legal research and provide practical guidance on corporate and compliance issues
Qualifications
Juris Doctor (JD)
from an accredited law school and admission to the New York Bar
3-7+ years of transactional experience, ideally with exposure to M&A and general corporate matters
Strong drafting, negotiation, and communication skills
Confident self-starter with initiative, curiosity, and strategic thinking
Excellent academic credentials, attention to detail, and ability to manage multiple projects
Compensation & Benefits
Base Salary:
$120,000 - $170,000 (commensurate with experience)
Hybrid work:
Approximately 50% in-office, 50% remote
