The Contract Paralegal will be employed by SOPREMA, and will assist General Counsel in his efforts to provide legal services to SOPREMA and its affiliates in the United States. Presently, there are four operating companies affiliated with SOPREMA in the United States, as well as several non-operating companies. There might also be the opportunity to work with the legal staffs at SOPREMA’s sister companies in France and Canada. The ideal candidate is detail-oriented, organized, adaptable, and an excellent and persistent communicator. Responsibilities

Essential Functions and Responsibilities: Contract management services, including contract review, preparation of summaries for General Counsel, drafting, facilitation of contract signatures, and ongoing management of key dates and deadlines utilizing the company’s Contract Management System platform (Legisway by Wolters Kluwer). As proficiency with the Contract Management System is achieved, provide support in related matters, including: Contract Lifecycle Management, including contract review, drafting, negotiation, assisting with the preparation of contract playbooks, assisting with the development of contract approval procedures, ensuring proper approval procedures are followed, facilitating contract signing, and ongoing management of key dates and deadlines once contracts are signed. Participate in a task force evaluating alternative Contract Lifecycle Management platforms. Indexing of real estate records, including purchase and sale agreements, due diligence files, deeds and other recorded documents, and leases. Drafting of entity (primarily corporate) resolutions and maintaining entity record books. Updating and maintaining entity (not personnel) org charts and the U.S. Business Unit’s Trade Registry. Provide accurate information to and manage the relationship with the third-party vendor retained to maintain corporate compliance at the state level (presently, CSC). If requested, assist the Finance Department with Business License monitoring and renewals. Assist with the preparation and circulation of Do Not Destroy Notices (Litigation Holds), Do Not Destroy Reminders, and Do Not Destroy Lifts. Collaborate with outside counsel to facilitate accurate, complete, and timely discovery responses. Collaborate with the internal business team in connection with due diligence related to potential acquisitions. Other tasks assigned by General Counsel. Minimum Qualifications

Associate’s degree or higher in Paralegal Studies, Legal Studies, or a related field. 3+ years of experience as a paralegal, preferably with a focus on contract law. Strong knowledge of legal terminology, contract structures, and document formatting. Proficiency in Microsoft Office Suite and contract management software. Excellent organizational, written, and verbal communication skills. Ability to handle sensitive and confidential information with discretion. Strong attention to detail and the ability to manage multiple tasks independently. Working Conditions

Working from SOPREMA’s U.S. headquarters in Wadsworth, Ohio, with occasional travel to affiliate locations as needed. Travel to affiliates, primarily Schoolcraft, Michigan and Baltimore, Maryland. Travel is generally on business days, with occasional weekend travel depending on business needs. Prolonged periods of sitting at a desk and working on a computer. Reporting
