* Assist in formation, merger, dissolution, name changes, reorganizations, structure conversions of legal entities and filing of foreign qualifications and withdrawals for legal entities.* Assist with shareholder, board and board-committee meetings, actions, and related matters, including the taking and drafting of minutes of proceedings.* Draft form resolutions (e.g., appointments of officers, delegations of authority, banking resolutions, payments of dividends and other distributions), incumbency and secretary’s certificates, etc., and circulate the same for execution.* Support required annual reports filings with secretary of state’s offices and franchise tax reports to revenue agencies, as applicable, in various jurisdictions.* Timely input and update Corebridge Financial supported database (Diligent Entities) with current information regarding legal entity ownership, structure, director and officer slates, delegations of authority, and other corporate information.* Manage minute books, corporate seals, legal files, and other corporate information, including officer appointment and delegations of authority.* Assist with arranging board and committee meetings, technology, and other meeting logistics, gathering reports and assembling board and committee meeting packages.* Facilitate Director on-boarding, offboarding and training.* Distribute and monitor written consents and/or documents circulated for signature and maintain log as to status of each written consent and/or document.* Fulfill requests and certifications for corporate information, including copies of minutes, consents, legal entity organizational charts, and other corporate documents.* In collaboration with the legal Regulatory team, assist with regulatory filings and financial and market conduct exams including responses to regulatory requests.* Assist with know your customer (KYC) requests and files relative to merger and acquisition and other special projects.* Interface with and manage Diligent Boards and Diligent Legal Entities.* Assist with insurance company licensing and authority and qualification matters.* Demonstrate a commitment to and understanding of corporate and corporate governance principals, requirements, and best practices, including pursuit of relevant certifications and professional development activities.* Have well-developed and professional interpersonal skills; ability to interact effectively with people at all organizational levels, sound judgment.* Possess strong project management and organizational skills including the ability to manage complex, multi-function programs, prioritize effectively, anticipate obstacles, and handle multiple projects and deadlines.* Self-starter able to use their own initiative to identify opportunities and drive improvements.* Bachelor’s degree preferred* Paralegal certificate required* A minimum of 5 years’ experience in corporate and corporate governance matters or related or transferable matters or functions. Experience in the financial services industry a plus* Knowledge of legal entity formation, dispositions, reorganizations, maintenance, and generation of form board of directors/committee resolutions* Knowledge and experience with legal entity management and corporate secretary software programs (e.g., Secretariat, Board Vantage) preferred* Excellent project management skills with a strong attention to details* Effective communication (verbal and written), organizational and interpersonal skills* Dependable and motivated* Adept at multi-tasking and ability to work under tight (and, at times, competing) deadlines* Ability to work in a team environment and provide team support* Proficient in Microsoft Office programs (including Word, Outlook, PowerPoint, Visio, and Excel)* Supports special corporate transactional and/or regulatory related projects as may from time to time arise.At Corebridge Financial, we prioritize the health, well-being, and work-life balance of our employees.
