Who You'll Work With The Legal, Compliance, Regulatory and Government Affairs department is a diverse team comprised of attorneys and other professionals providing high quality advisory and transactional support with integrity and objectivity across all parts of the organization. About The Role As a member of the Corebridge Financial Corporate Governance team, the Paralegal in this position will support the corporate governance and entity maintenance for approximately 40 U.S. and Bermuda-based subsidiaries of Corebridge Financial. Responsibilities Assist in formation, merger, dissolution, name changes, reorganizations, structure conversions of legal entities and filing of foreign qualifications and withdrawals for legal entities. Assist with shareholder, board and board-committee meetings, actions, and related matters, including the taking and drafting of minutes of proceedings. Draft form resolutions and circulate the same for execution. Support required annual reports filings with secretary of state’s offices and franchise tax reports to revenue agencies, as applicable, in various jurisdictions. Timely input and update Corebridge Financial supported database with current information regarding legal entity ownership, structure, director and officer slates, delegations of authority, and other corporate information. Manage minute books, corporate seals, legal files, and other corporate information, including officer appointment and delegations of authority. Assist with arranging board and committee meetings, technology, and other meeting logistics, gathering reports and assembling board and committee meeting packages. Facilitate Director on-boarding, offboarding and training. Distribute and monitor written consents and/or documents circulated for signature and maintain log as to status of each written consent and/or document. Fulfill requests and certifications for corporate information, including copies of minutes, consents, legal entity organizational charts, and other corporate documents. Skills And Qualifications Bachelor’s degree preferred Paralegal certificate required A minimum of 5 years’ experience in corporate and corporate governance matters or related or transferable matters or functions. Knowledge of legal entity formation, dispositions, reorganizations, maintenance, and generation of form board of directors/committee resolutions Excellent project management skills with a strong attention to details Effective communication, organizational and interpersonal skills Compensation The compensation offered will ultimately be dependent on multiple factors, which may include the candidate’s geographic location, skills, experience and other qualifications. Work Location: This position is based in Corebridge Financial’s Houston, TX office and is subject to our hybrid working policy.
