The Transaction Attorney, Credit Transactions will be responsible for providing overall legal support and day-to-day responsibility for the negotiation and execution of a wide range of credit transactions, including asset-based warehouse credit facilities, term loans, forward-flow receivables purchase facilities, deal renewals and amendments, credit restructurings, and other transaction-related matters. The ideal candidate will have experience in receivables-based secured lending and structured finance, with a focus on private credit. This role involves working closely with the Director, Credit Transactions, internal constituencies, external counsel, borrowers, borrower’s counsel, and other counterparties. Job Responsibilities
Work closely with the Director, Credit Transactions to ensure credit documentation accurately reflects business agreement and to identify and resolve business and legal issues between term sheet and closing. Draft and negotiate term sheets and letters of intent for credit transactions. Oversee and conduct due diligence on borrower counterparties, in coordination with cross-functional internal teams. Direct and supervise external counsel in drafting transaction documentation and advising on legal aspects of transaction structures. Provide front-line business/legal review and negotiation of transaction documents for a wide variety of credit agreements, including asset-based warehouse credit facilities, term loans, forward flow receivables purchase facilities, and other debt financings. Serve as the primary daily driver of credit transactions from term sheet to closing. Assist in the development and maintenance of standard legal documents, policies, and processes for credit transactions. Work on renewals, amendments, restructurings, and other modifications to existing credit facilities as required. Stay current with relevant laws, regulations, and market trends affecting the specialty finance industry and advise the business accordingly. Required Experience & Skills
7+ years of legal experience at a law firm or in-house, with a strong background in asset-backed lending, securitization, structured credit, private credit, or similar banking transactions. Strong deal execution experience as lead associate attorney on credit transactions and/or securitizations. Expertise in drafting and negotiating receivables-based loan agreements, security agreements, intercreditor agreements, and related documents. Familiarity with business drivers behind asset-based credit transactions and securitizations, including advance rates, borrowing bases, performance triggers and bankruptcy-remote structures. Technical proficiency with secured lending transactions (including UCC Article 9) and other relevant legal frameworks. Strong analytical and problem-solving skills, with the ability to provide practical legal advice that balances risk and business objectives. Experience managing multiple transactions simultaneously, with the ability to prioritize and meet deadlines in a fast-paced environment. Proven ability to work independently as well as collaboratively within a team. Excellent communication and negotiation skills, with the ability to convey complex legal concepts clearly to non-legal stakeholders. Qualifications
Juris Doctor (J.D.) from an accredited law school. Admitted to practice law in the State of New York (or the ability to become admitted promptly). Demonstrated expertise in lending transactions, ideally with a focus on asset-based lending, structured credit and/or private credit.
