Base pay range $90,000.00/yr - $110,000.00/yr

About The Job We are currently seeking an experienced and skilled corporate paralegal with broad experience in corporate and transactional matters. Familiarity with corporate, governance and tax matters is a plus. This position will support Avanci’s in-house legal department, including transaction support, maintaining corporate records and contract administration.

Essential Duties And Responsibilities

Assists with the preparation of legal and transaction documents such as NDAs, disclosure schedules, memoranda and corporate formation papers.

Coordinates, tracks, and manages incoming and outgoing contracts; maintains accurate records and closely tracks deadlines within document management system.

Supports attorneys in connection with complex transactions, including due diligence.

Oversees governance filings, compliance documentation, entity formation and organizational documentation.

Maintains corporate records, including signed contracts, board minutes, correspondence, filings, and court decisions.

Assists with transaction management activities, such as updating transaction tracking systems, updating virtual data rooms, and preparing status reports.

Assists attorneys with internal briefings, status updates, presentations and other communications.

Assists with legal policy creation and related training activities.

Required Knowledge, Skills, And Abilities

Proficiency and knowledge of MS Office (Word, Outlook, Excel, PowerPoint, Visio etc.)

Proficiency and knowledge of Virtual Data Rooms and Document Management Systems (Epona, NetDocs, etc.)

Substantive knowledge of procedures, terminology and documents related to corporate matters; ability to independently review, maintain, and organize complex legal agreements

Understanding of the contract life cycle and contractual terms

Outstanding organizational skills and attention to detail

Ability to prioritize work, meet deadlines, and coordinate multiple projects concurrently

Ability to work proactively and independently in a fast-paced environment

Excellent communication skills

Desire to produce consistent, high quality work product

Must maintain strict confidentiality with company matters

Education/Certification

Bachelor’s Degree preferred

Paralegal Certification required

Preferred Experience

8+ years paralegal experience
