Overview

The Senior Corporate Paralegal

will provide high-level support to the Corporate Department in the Mid-Atlantic region. This role is responsible for preparing and managing entity formation and governance documents, conducting due diligence, and assisting attorneys with corporate transactions. The position plays a key role in ensuring compliance, accuracy, and efficiency in legal processes that support the organization’s corporate practice. Key Responsibilities

Draft, file, and manage business entity documents for corporations, LLCs, and partnerships with state agencies. Prepare and maintain corporate formation documents, board minutes, actions by consent, operating agreements, and name changes. Maintain and update corporate minute books, primarily in virtual format. Conduct Uniform Commercial Code (UCC) searches and filings. Prepare and file annual reports and assist with drafting SEC filings. Perform regulatory legal research to support corporate governance and compliance matters. Assist with corporate and real estate due diligence and closing processes. Provide overall transactional support to attorneys in the corporate practice group. Minimum Education & Experience Requirements

Bachelor’s Degree and/or Paralegal Certificate required. Minimum of 10 years of relevant corporate paralegal experience in a mid-size to large law firm environment. Demonstrated expertise in corporate governance, due diligence, and transactional support. Special Requirements

Strong proficiency with Microsoft Excel, Word, Outlook, and related software applications. Experience with virtual corporate recordkeeping and e-filing systems. Knowledge, Skills, and Abilities

Excellent organizational and time management skills. Strong written and verbal communication skills. Ability to manage multiple priorities and meet deadlines in a fast-paced environment. High attention to detail and accuracy. Strong legal research and analytical skills. Ability to work independently and collaboratively with attorneys and other team members. Additional Desired Characteristics

Experience in handling real estate due diligence and transactional closings. Knowledge of SEC filings and compliance requirements. Familiarity with technology solutions supporting legal operations. Professional office environment in the Mid-Atlantic region, with flexibility for some remote work. May require occasional overtime to meet transaction deadlines. Collaborative team setting with attorneys and support staff. Other Duties
