Responsibilities
Operates as a member of multiple deal teams, assisting in tax due diligence and supporting our private equity and strategic acquirer clients. This role will act as a tax contact for individual due diligence engagements and will work alongside the financial diligence team and with the tax technical leaders. Communicates engagement status with both the financial due diligence deal team and technical tax leaders. Key topics of communication can include open tax requests or items such as tax exposure or structuring items. Monitors and communicates deal milestones to ensure projects are progressing according to pre-determined timelines. Monitors, aggregates, and digests target tax data for presentation to tax diligence managers. Acts as a liaison with the various technical tax diligence leaders across all tax matters. Ability to research tax technical issues, analyze key legal authorities, and clearly frame federal, state, and local income, sales and use, payroll, and property tax exposures for technical diligence managers. Reads and interprets merger and acquisition documents. Possesses strong writing skills that succinctly describe potential risks and tax exposures. Assists with tax modeling on projects specific to the transaction. Researches relevant tax updates and rulings, ensuring diligence team understands the latest proposed or enacted developments in tax legislation and industry standards. Helps draft insightful pieces and/or posts on the latest tax diligence trends, cases and legislation that could be shared by marketing as thought leadership.
Requirements/Qualifications
Bachelor’s Degree from an accredited college or university required. 1 – 2 years of experience in tax accounting. CPA eligible, MST or JD a plus. Excellent verbal and written communication skills. Strong Excel skills preferred. Strong project management and analytical skills. Capable of working in a demanding, deadline-driven environment (either independently or within a team dynamic) while effectively managing unexpected issues and/or questions in a professional manner.
