Corporate Paralegal – Foley Hoag LLP

Denver, CO (Hybrid, 60% onsite at our Denver office)
Join the Business Department to provide essential support to attorneys and clients in corporate matters. This role requires strong communication, organization, and the ability to work both independently and collaboratively in a fast-paced environment.
Base Pay Range $69,000.00/yr – $87,000.00/yr (actual pay based on experience and skills)
Responsibilities
Assist in the formation and maintenance of business entities, preparing formation documents, board and shareholder resolutions, and record books.
Support attorneys in closing business transactions such as financing, mergers & acquisitions, and private fund closings, using Litera Transact, DocuSign, Carta and related tools.
Research state corporate filing requirements and draft filing documents for various entity types.
Review and track subscription documents and related agreements.
Prepare, file and monitor federal and state securities filings and amendments.
Attend to corporate filings (charters, UCC, SS-4) and summarize lien searches.
Utilize Word, Excel, Adobe, Nuance and corporate maintenance software.
Organize and maintain files and workrooms.
Perform additional administrative tasks as directed by attorneys.
Experience with electronic signature solutions and cap table management software preferred.
Qualifications
Excellent analytical, organizational, writing and communication skills.
Ability to collaborate effectively with legal, administrative staff and clients.
Technical proficiency in MS Office Suite.
Experience with corporate and securities filing processes is a plus.
