Vice President, Retail Alternative Funds Legal Counsel

We are seeking an attorney to join BlackRock’s U.S. Legal team, focusing on 1940 Act-regulated funds engaged in alternative strategies—such as private credit and private equity—including business development companies (BDCs) and non-traded closed-end funds. Key Responsibilities • Draft, review, and manage regulatory filings, offering documents, and board materials. • Assist with fund formation, structuring, and ongoing operations. • Provide legal support for fund distribution and marketing through third-party retail channels, technology-enabled platforms, and offshore feeder funds—including drafting and negotiating related agreements. • Communicate regularly with business stakeholders regarding legal, compliance, and operational considerations. • Coordinate with external counsel on regulatory matters. • Collaborate with colleagues across BlackRock’s Legal & Compliance department. Qualifications • Juris Doctor (J.D.) from a nationally recognized law school with superior academic credentials. • Minimum of three years of legal practice at a major law firm, preferably in the asset management group. In addition, experience within the legal department of a leading financial services firm is a plus. Strong familiarity with the Investment Company Act of 1940 and registered funds generally is highly recommended. • Exposure to work on private funds, private investments and/or structuring alternative products is preferred. • Ability to meet competing deadlines in a fast-paced environment, be responsive, and demonstrate strong time management skills. • Strong attention to detail, with exceptional analytical, written, and verbal communication skills, along with strong relationship-building capabilities. • Practical problem-solving skills and the ability to clearly communicate legal, compliance, and business risks. • Willingness and ability to develop expertise in new or unfamiliar areas of law. Preferred Experience (Bonus) • Familiarity with BDCs, closed-end funds (tender offer and interval funds). • Experience with Form N-2, proxy statements, Form 10-K/Q, Form 8-K, and repurchase/tender offers. For New York, NY Only the salary range for this position is USD$135,000.00 - USD$235,000.00 . Additionally, employees are eligible for an annual discretionary bonus, and benefits including healthcare, leave benefits, and retirement benefits.
