Director, Legal In-House Desk at Long Ridge Partners / Ex-Litigator
Our client is an established top-tier alternative asset management fund in NYC. The firm invests in assets across multiple strategies. Reporting to the Chief Counsel of that division, the attorney or counsel would contribute to and/or be responsible for the following areas: Responsibilities: Experience developing and working on the structuring of product development and the distribution of such vehicles, including registered funds, private funds, interval funds, tender-offer funds, BDCs, and other wealth vehicles. Reviewing corporate governance, fund governance, and taking an active role with board materials preparation and board proposals with the different committees. Reviewing the applicable regulatory regime regarding development, structuring, and other domestic and foreign investment vehicles. Go-to legal support for SEC inquiries, state inquiries and other regulatory bodies. Work on the day-to-day operations of multiple fund vehicles, both public and private. Work cross-functionally with the investment teams and compliance team on regulatory issues. Drafts and negotiates LPAs, PPMs and Distributions, and Investment management agreements. Requirements: JD (Class of 2019 and previous classes) at a top law school Significant experience with the Investment Company Act of 1940 and the Investment Advisers Act of 1940 required. Working knowledge of the Securities Act of 1933 and Securities Exchange Act of 1934 preferred. Experience with 8-Ks, 10-Q/Ks, Form 10s, and other Securities Act filings is a plus. Experience with Broker-Dealer regulation, private placements and public offerings is ideal. Experience at an Alternative Investment Management Firm, Private Wealth Solutions or a Top Law firm, in the Registered Funds Group at a Chambers-ranked practice. Excellent Law School credentials. Strong problem-solving, written communication & interpersonal skills needed. Seniority level
