Responsible for negotiating and drafting key agreements and other transactional documents for the company in support of various business units. Develop commercially sound business and financial sense across multiple business workstreams. Provide sound legal guidance and ensure compliance with Beverage Alcohol Laws in the United States for the organization. Major Responsibilities / Accountabilities
In close consultation with business personnel, negotiate and draft contracts and other transactional documents across Sales, Marketing, Supply Chain, Operations, HR and Procurement for North American legal matters. Topics include distribution, export, procurement, real estate, employment, trademark licenses, sponsorship and agency agreements. Create training to elevate PR NA legal team’s drafting skills. Coordinate potential M&A transaction diligence reviews with Paris M&A Legal and PR NA legal teams; oversee integration input for PR USA Founders Playbook; support Canadian affiliates; develop training on transaction structure, diligence process, and contract drafting. Develop expertise and collaborate with Tax, Drawback, Finance, and global teams on import/export matters; roll out inter-affiliate and third-party distribution agreements; contribute to PR USA’s global responsibilities as brand owner of exported products. Manage litigation related to areas of responsibility. Nature & Scope
Typically works with senior management within the company. Represents the company in internal and external communications. Requires practical understanding of internal clients’ day-to-day objectives and ability to provide commercially pragmatic advice within regulatory constraints. Works cross-functionally with different departments; provides contract drafting training to other Legal Department members as requested. Delivers trainings on topics at introductory and advanced levels in a clear, digestible format. Maintains high affinity for processing contracts daily and improving ways of working with internal departments. Highly process-oriented with ability to identify inefficiencies and implement improvements. Position requires confidentiality. Key Competencies
Education:
Juris Doctorate required. Admission to a state bar required; New York Bar preferred. Experience / Background:
Combined 5 years’ experience as in-house or law firm attorney required. M&A experience required (lead associate on deal work); a deal sheet must be provided. Prior non-legal experience not required but a plus. Experience with alcohol beverage law a plus. Ability to explain complex legal concepts in lay terms is a plus. Travel
