Growing Established Law Firm Seeks a New Corporate Attorney to join their team!
Responsibilities
Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, service agreements, non-disclosure agreements, and employment contracts.
Advise on corporate governance matters, including compliance with federal and state regulations, conducting board meetings, and drafting shareholder agreements.
Assist with mergers, acquisitions, joint ventures, and other corporate transactions, including due diligence, structuring deals, and drafting transaction documents.
Ensure the company complies with applicable laws and regulations, including securities laws, antitrust laws, data protection laws, and industry-specific regulations.
Work with external legal counsel to manage and resolve business-related litigation and disputes.
Provide counsel on the protection and enforcement of intellectual property rights, including patents, trademarks, copyrights, and trade secrets.
Identify potential legal risks and liabilities and provide strategic guidance to senior management to mitigate them.
Offer proactive legal advice to internal departments, including finance, marketing, HR, and operations, to ensure legal compliance and minimize risks.
Conduct legal research on emerging legal issues and industry-specific trends that may impact the company.
Skills & Experience
Active New York Bar Admission
Juris Doctor from an accredited law school
5+ years’ experience in corporate law; specifically in M&A, Corporate Governance & Contract Law
Experience with drafting & negotiating complex legal documents.
Experience in tech / healthcare & finance industries a plus
In‑house counsel experience a plus
