Key Responsibilities Intellectual Property Management: Oversee the company’s intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets. Advise on IP strategy, protection, enforcement, and licensing. Coordinate with outside counsel and internal stakeholders to ensure proper registration, maintenance, and defense of IP assets. Review and draft IP-related agreements and clauses in commercial contracts. Contract Review & Management: Draft, review, and negotiate a wide range of contracts, including vendor, client, confidentiality, licensing, partnership, and joint venture agreements. Collaborate with internal teams to ensure contract terms align with business objectives and minimize legal risk. Governance & Compliance: Support corporate governance, including board resolutions, entity filings, and compliance with SEC and other regulatory requirements. Develop and implement internal policies and procedures from a legal perspective. General Corporate Legal Support: Advise management and business units on legal issues related to operations, compliance, product safety, marketing, and governance. Support regulatory compliance efforts, including ADA, product safety, packaging, and chemical regulations. Assist with data privacy, employment law, litigation, and other general corporate matters as needed. Conduct legal research and stay updated on relevant laws and regulations.
