Job DescriptionSenior Paralegal Join a company that Empowers you to Build Your Future We are seeking Senior Corporate Paralegal to support the Legal Department in managing complex corporate governance, compliance, and entity formation matters. As a core member of the Corporate Governance team, this role is also responsible for assisting with Corporate Secretary functions, ensuring the quality and accuracy of corporate books and records for all entities within the organization. Your Responsibilities on the Team

Manage document preparation and entity formation and dissolution. Obtain good standing certificates and corporate documents and confirm director and officer structure for approximately 1,500 subsidiaries. Manage the relationship with registered agent. Conduct detailed reviews of corporate documents for litigation, mergers and acquisitions and other purposes, ensuring all descriptions of entities and related information are precise and up to date. Manage the preparation and filing of annual reports for subsidiaries in all necessary states and arrange filing of applicable state/county documents and amendments. Oversee the process of entity name changes and officer elections, ensuring proper documentation and compliance with state and corporate requirements. Draft, review, and execute election consents, other corporate resolutions and certificates of incumbency. Prepare authority documents for loan and sale closings and collaborate with outside counsel on closings. Execute and/or notarize Lender signature packages, including recordable assignment documents and various signature pages in connection with loans. Review and approve third-party vendor invoices for various state filings, including entity formations, dissolutions, registrations, certificates of good standing and mergers. Lead the corporate entity management function including management of documents relating to mergers and dissolutions of entities and joint ventures. Assist in due diligence for financings, mergers and acquisitions or other projects, including preparing data rooms, as well as reviewing and reporting on data room documents. Manage and process inbound mail related to Lennar subsidiary management. Spearhead other special projects as directed by the Chief Legal Officer or the Deputy General Counsel

Requirements Paralegal or Legal Assistant Associate Degree and/or Florida paralegal certification. 5+ years experience in corporate entity management. Knowledge of entity management and legal billing platforms and software. Experience working across corporate departments and supporting executives and other employees in corporate legal projects. Proficiency in Microsoft Word, Excel, Outlook and PowerPoint. Excellent communication skills, including written and verbal fluency in English. Impeccable organizational, time management, attention to detail, and proofreading skills. Self-starter: ability to independently resolve inquiries and issues with skill and judgment. Ability to balance multiple projects with minimum supervision in a fast-paced environment. Ability to maintain poise in a fast-paced environment and work well under pressure. Must be able to demonstrate discretion in handling highly confidential information. A consummate team player who interacts well with co-workers, supervisors, and management, maintaining a professional demeanor and attitude.

Physical & Office/Site Presence Requirements: This is a fully in-person, primarily sedentary office position which requires the incumbent to have the ability to operate computer equipment, speak, hear, bend, stoop, reach, lift, and move and carry up to 25 lbs.
