is seeking a skilled finance attorney with mid-to-senior level experience in sponsor or lender-side financing. The role involves representing financial institutions and corporate clients in complex financing transactions, including acquisitions, buyouts, restructurings, and special situations. Duties: Advise clients on a range of financing transactions, including acquisition financing, leveraged buyouts, and corporate restructurings. Represent lenders such as investment and commercial banks, business development companies, and other debt providers. Counsel borrowers, including private equity sponsors, on structuring and negotiating financing agreements. Draft, review, and negotiate credit agreements, security documents, and inter-creditor agreements. Collaborate with internal teams and external counsel to ensure seamless execution of transactions. Stay informed of industry trends and legal developments impacting corporate finance. Requirements: Prior experience in finance law, with a focus on lender or sponsor-side transactions. Strong understanding of corporate finance structures, leveraged lending, and credit agreements. Ability to manage multiple transactions and work in a fast-paced environment. Exceptional negotiation and drafting skills. Education: Juris Doctor (J.D.) from an accredited law school. Certifications: Licensed to practice law and in good standing in at least one U.S. jurisdiction. Skills: Expertise in complex finance transactions. Strong analytical and problem-solving abilities. Excellent written and verbal communication skills. Ability to work collaboratively with teams and clients.
