The firm is seeking an experienced

M&A (Private Equity) Senior Associate (o)r Of Counsel

to join its Dallas office. This role offers the opportunity to represent

private equity firms and their portfolio companies

in sophisticated transactional matters, including

mergers and acquisitions, leveraged buyouts, equity investments, and related corporate matters.

Key Responsibilities

Advise private equity sponsors and portfolio companies through all phases of

complex M&A and investment transactions.

Draft, negotiate, and review

purchase and merger agreements, LLC and LP agreements,

and related deal documentation.

Counsel clients on

management equity and co-investment arrangements,

incentive equity structures, and fund documentation.

Support fund-level and portfolio company transactions with a strong understanding of

deal structure and market dynamics.

Serve as a trusted advisor on day-to-day client needs while managing multiple transactions simultaneously.

Qualifications

JD from an ABA-accredited law school

with strong academic performance.

5+ years of experience

in private equity and M&A transactions at a large or highly regarded law firm.

Texas Bar admission

(or ability to become admitted in Texas).

Demonstrated excellence in drafting, negotiating, and client communication.

Business-oriented mindset with the ability to balance legal precision and commercial practicality.

Compensation & Structure

Base Salary:

$260,000 – $375,000 (depending on experience)

Hybrid work model

with flexible billable hour options: 1600, 1750, or 1900 hours.

Part-time schedule available:

minimum 1,120 billable hours (paid proportionally).

Comprehensive benefits package , including medical, dental, vision, 401(k), paid parental leave, and flexible time off.

180-day replacement guarantee | 30-day payment terms | 25% fee.
