Role:
Are you a mid-level Legal Counsel / Legal Manager supporting key capital markets and financing transactions? This is a stellar opportunity to enhance your transactional skills in a fast-paced, commercially-driven environment with strong mentorship and involvement in strategic deals.
Key Responsibilities
Deep understanding and practical experience with offshore jurisdictions and corporate regulations, including BVI, Cayman Islands, Seychelles, Mauritius, and beyond in the Asia-Pacific.
Proven track record in company restructuring, handling share transfers, capital changes, mergers, and liquidations.
Familiar with cross-border compliance needs, such as UBO declarations, KYC/AML documentation, and regulatory filings.
Skilled in preparing corporate documents like board/shareholder resolutions, annual returns, and statutory registers.
Strong grasp of group structuring and intercompany dynamics (holding, subsidiary, JV structures).
Ensure adherence to the Companies Act, ACRA filings, and other statutory regulations.
Support governance for complex structures, including joint ventures and international subsidiaries.
Advise the Board on corporate governance, ensuring alignment with best practices and industry standards (e.g., environmental and safety governance).
Coordinate with external regulators, legal advisors, and joint venture partners on compliance matters.
Manage the preparation and submission of annual returns, statutory documents, and other compliance filings.
Maintain accurate statutory records for all group entities, including those for petrochemical projects and international operations.
Assist in corporate transactions like mergers, acquisitions, financing, and large-scale EPC contracts.
Profile of Ideal Candidate
Certified with ACIS/CSIS or equivalent, with strong understanding of the Singapore Companies Act and ACRA.
Degree in Law, Business, or related field is preferred.
At least 3 years of corporate secretarial experience, ideally within the energy, chemicals, or infrastructure sectors.
Experience managing complex corporate structures including joint ventures and cross-border entities.
Excellent communication, drafting, and interpersonal skills to engage with senior stakeholders and regulators.
