M&A And Private Equity Attorney

Working under moderate supervision of partners, advise clients on complex domestic and international M&A transactions. Advise clients on restructuring and recapitalization transactions, public M&A and capital markets transactions. Draft standard M&A and private equity documentation, including share purchase agreements, asset purchase agreements and other ancillary documents. Negotiate key financing, contractual, and commercial terms to ensure clients' best interests are reflected. Participate in marketing and client pitches. Mentor junior associates and support staff. Participate in efforts to grow and expand the practice through cross-marketing and other new business initiatives. JD and 6 years' experience as an Associate, Mid-Level Associate, or Managing Associate Attorney in M&A and/or Private Equity required. Must be admitted to practice law in the state of New York. Must have experience in each of the following: 1. Advising market-leading private equity firms with assets under management of over [USD 200] billion, their portfolio companies, and strategic clients on complex domestic and international M&A transactions, including within the asset and wealth management, food, financial services, professional services, consumer goods, healthcare, and technology industries; 2. Advising on restructuring and recapitalization transactions, including in-court and out-of-court processes; 3. Counseling corporate clients on public M&A and capital markets transactions, including drafting disclosure documents and advising on disclosure and governance obligations, listing rules compliance, and in connection with IPOs or potential future IPOs; 4. Overseeing transaction processes from early stage deal negotiation, structuring, diligence through to closing, including working with local counsels to oversee direct equity purchases in ex-US jurisdictions; 5. Participating in review of financing and security documentation including commitment letters, loan documentation, security agreements, IP security agreements, mortgages, and agency agreements; and 6. Drafting and negotiating transaction documentation, including purchase agreements, exchange agreements, term sheets, side letters, stockholder agreements, transition services agreements, registration rights agreements, restrictive covenant agreements and insurance policies. Salary: $420,000 - $445,000. Our compensation package also includes bonus eligibility and a comprehensive benefits program.
