FindRoles.com Job Board Terms of Service

This is a contract between you ("Customer") and us ("FindRoles" or "we"), a product of CognoGroup, Inc. By posting jobs on the FindRoles Job Board, you agree to these Terms of Service and acknowledge that you have also read and accepted our Terms of Use and Privacy Policy.

Definitions

• Job Board: The job board located at findroles.com, provisioned by FindRoles, which provides services allowing jobseekers to search for open employment opportunities and companies to post those opportunities.
• Plan: A specific package of Job Board services and features offered by FindRoles.
• Order Form: A mutually agreed written document between FindRoles and the Customer outlining specific terms, pricing, or custom arrangements. These terms supersede the general terms in this Agreement where applicable.
• Services: All tools, software, platforms, and related offerings developed and maintained by FindRoles and accessible via findroles.com or another designated URL.
• Subscription Fees: Recurring monthly charges to the Customer associated with their selected Plan.
• Term: The period for which the Customer pays to use the Services under an active Plan.
• Users: Jobseekers, companies, recruiters, or other individuals who visit findroles.com or use related services.

General Commercial Terms

• Access: During the Term, you will have access to the Services as specified in your Plan or Order Form.
• Availability: We strive to maintain 24/7 availability of the Services, except for scheduled maintenance or circumstances beyond our control.
• Prohibited Use: You agree not to:
  • Impair the operation or performance of the Website;
  • Attempt to access unauthorized areas or data;
  • Use the Services for unlawful, misleading, or exploitative purposes.
• Security Notification: You agree to promptly notify us of any unauthorized access or misuse of your account or User data.

Fees & Payments

• Subscription Fees: You agree to pay recurring Subscription Fees based on your selected Plan, unless otherwise stated in an Order Form or adjusted by FindRoles with advance notice.
• Changes: FindRoles reserves the right to update Plan pricing and will notify Customers in advance of any material changes.
• Payment by Credit or Debit Card: By providing payment details, you authorize FindRoles (or its designated third-party processor) to charge all applicable fees.
• Payment Information: You must keep all billing and contact information current. All fees are non-refundable and payment obligations are non-cancelable, unless explicitly stated.
• Payment Timing: Subscription fees are billed and due in advance of each Term.
• Sales Tax: All fees exclude applicable sales or VAT taxes, which will be charged as required by law. If withholding taxes apply, you agree to gross up your payment so FindRoles receives the full amount due.

Term, Termination & Suspension

• Renewal: Your Plan will auto-renew unless canceled before the end of the current Term.
• No Refunds: Canceling your Plan stops future billing, but we do not offer refunds for the remainder of the current billing period.
• Termination for Cause: Either party may terminate this Agreement:
  • With five (5) days' written notice if the other party materially breaches and fails to cure;
  • Immediately upon bankruptcy or insolvency of the other party.
• Suspension for Violation or Risk: We may suspend or terminate access without notice for violations of this Agreement, laws, or in the event of perceived security risks, excessive bandwidth usage, spam behavior, or any activity deemed harmful to the Services or Users.
• Suspension for Non-Payment: If payment is not received within ten (10) days of a notice of non-payment, we may suspend your access to the Services until full payment is made.

Other Terms

• Assignment: Neither party may assign this Agreement without written consent of the other, except in the case of a merger or sale of substantially all assets.
• Validity: If any provision is held to be unenforceable, the remainder shall remain valid and enforceable with minimal modification.
• Entire Agreement: This Agreement constitutes the full understanding between the parties and supersedes any prior agreements, whether written or oral.
• Non-Agency: This Agreement does not create a partnership or agency relationship. Neither party may bind the other.
• Amendments: Any amendments must be in writing and signed by both parties. No waiver of rights will be valid unless in writing and signed by the waiving party.
