Paralegal Position
The Paralegal is an integral part of Latham's Legal Professional and Paralegal team. This role will be responsible for assisting the departmental attorneys and senior paralegals in the coordination of all phases of a transaction from its inception through closing, while assisting senior Corporate paralegals and attorneys with completing client work in an efficient and timely manner, with exceptional attention to detail. This role will be located in either our New York or Washington D.C. office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence. Other key responsibilities include: Assisting attorneys with maintaining and managing various corporate and finance transactions, including research and analysis of corporate records, drafting and maintaining checklists, document and deliverable tracker, closing documents and certificates, and reviewing and finalizing legal contracts for execution Preparing initial drafts, forms, and maintaining documentation for various business entities including corporations and limited liability companies Assisting with preparing documentation for forming, registering, maintaining, and dissolving legal entities, including filing required documents, obtaining employer identification numbers, and preparing, organizing, and maintaining minute books and other corporate records Creating and maintaining Carta files (and other equity software program files) Onboarding records for new clients, including organizing, reviewing, and summarizing all corporate and transactional documents and capitalization tables Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains We'd love to hear from you if you: Possess a thorough knowledge of state corporation laws and federal and state securities laws and regulations Exhibit well-developed and professional interpersonal skills, and the ability to interact effectively with people at all organizational levels of the firm Demonstrate the ability to work in a team environment with a customer-service focus And have: A bachelor's degree or an equivalent, or a paralegal certificate from an ABA-approved program A signed declaration if located in a California office A minimum of five (5) years of related law firm experience as a paralegal Successful candidates will not only be provided with an outstanding career opportunity and welcoming environment, but will also be provided with a generous total compensation package with bonuses awarded in recognition of both individual and firm performance.
