Legal Specialist

The Legal Specialist will be a valued member of the North American Legal Group and assist the corporate attorneys within the Unilever Legal Team (including the General Counsel) with several areas of focus, including: legal entity management, corporate governance, treasury transactions, tax and finance transactions, contract review and negotiation, and other corporate and commercial transactions. What Will Your Main Responsibilities Be Draft, file and manage various business entity documents for corporations, LLCs and partnerships with state agencies, including drafting and preparing formation documents, board minutes, actions by consent, name changes, etc. Maintain and update Corporate Records and Minute Books Prepare and execute Statutory Registrations and Filings Fulfill Corporate Secretarial requirements Review and negotiate form contracts such as non-disclosure agreements, service agreements and statements of work Support Global Treasury & Tax functions in various financing transactions Collaborate with cross functional teams on external and internal reporting requirements, routine and operational matters as well as special projects Communicate with internal stakeholders regarding risks presented by contract terms and possible strategies to mitigate such risks Act as the primary point of contact between the Legal Department and internal stakeholders Organize records and file materials utilizing various electronic document management systems Effectively and independently solve problems with critical thinking skills, using discretion and good judgment What We Can Offer You Unilever is an organization committed to diversity and inclusion to drive our business results and create a better future every day for our diverse employees, global consumers, partners, and communities.
