The Role
BTC Inc is seeking a dynamic, mission-aligned General Counsel to lead and scale our legal function. As our GC, you will serve as the principal legal advisor to the CEO and executive team, overseeing all corporate, regulatory, and commercial legal matters across BTC Inc’s brands and initiatives. You will work closely with senior leaders across media, events, and strategic finance to navigate the evolving legal landscape surrounding Bitcoin, digital assets, publishing, and financial services. This is a highly strategic and hands-on role requiring sound legal judgment, operational rigor, and the ability to thrive in a fast-paced, entrepreneurial environment.
The Work
Corporate Legal & Governance
- Manage commercial agreements, including sales and vendor contracts across media, events, and advisory verticals, as well as international licensing and intellectual property deals.
- Stay current on relevant legal and regulatory developments, with particular focus and mastery on employment law, global IP protections, the evolving Bitcoin regulatory landscape, and SEC compliance requirements.
- Serve as legal advisor to the executive team and department leads, providing strategic counsel on company-wide legal matters.
- Manage and oversee entity formation, maintenance, and compliance across BTC Inc’s portfolio.
- Support the Board of Directors with governance policies, resolutions, and corporate records.
- Review and maintain capitalization tables and equity documentation.
- Ensure company is compliant with established bylaws, company policies and procedures.
- Draft, review, and negotiate commercial agreements, including vendor contracts, sponsorships, NDAs, partnership agreements, licensing, and consulting engagements.
- Develop and scale contract templates and workflows to support multiple business units.
- Collaborate cross-functionally with Sales, Finance, and Operations to support deal execution and contract lifecycle management.
- Advise on employment law issues, including offer letters, terminations, independent contractor agreements, and international employment risk.
- Own risk mitigation strategies across IP, privacy, consumer protection, and defamation—especially in publishing and media contexts.
- Monitor changes in law relevant to digital assets, events, publishing, and fintech to proactively adjust company practices.
- Track regulatory developments in the U.S. and globally around Bitcoin, stablecoins, and financial services.
- Advise on advertising, disclosure, and consumer communications related to financial content.
- Ensure compliance with securities law, AML considerations, and data privacy as it pertains to media, commerce, and financial advisory relationships.
- Manage relationships with external counsel on specialized issues (e.g., tax, IP, international law).
- Optimize legal operations by implementing contract management tools, processes, and documentation systems.
- Build the foundation for a lean, scalable legal department that can support future growth.
- J.D. from an accredited U.S. law school and admission to practice in at least one U.S. jurisdiction.
- 8+ years of legal experience with a mix of law firm and in-house roles, ideally in fintech, media, or venture-backed companies.
- Experience working in-house preferred preferred, in fast-paced environments alongside teams scaling business operations
- Broad-based legal knowledge with the ability to advise across corporate, commercial, and regulatory domains.
- Comfort with ambiguity, change, and interpreting developing legal frameworks around Bitcoin and digital assets.
- Ability to translate complex legal issues into clear, business-focused guidance.
- Strong writing, negotiation, and interpersonal skills.
- A passion for Bitcoin, open-source technology, and individual sovereignty is a major plus.
