Role Overview As Board Secretary, you play a pivotal governance and administrative role, ensuring smooth board operations and supporting organizational transparency. You schedule and coordinate board meetings, manage digital organization, and prepare minutes—helping the board fulfill its conservation mandate. This role is especially important as Red Panda Network grows as a global nonprofit rooted in both local and international partnerships. This is a volunteer, unpaid position. Key Responsibilities

Meeting Scheduling & Coordination Organize approximately monthly board meetings (~1.5 hours), plus ad hoc closed meetings and task‑team sessions. Coordinate logistics, send timely meeting notices, agendas, and materials to board members—enabling informed and inclusive decision-making. Meeting Administration & Records Attend all board and related meetings (virtually or in person), accurately capture minutes, decisions, and action items. Prepare, finalize, and distribute minutes in a prompt, professional format. Monitor action items and follow up to ensure accountability and progress. Online Organization & Governance Support Maintain digital filing systems for board records, minutes, policies, contacts, and historical documentation. Archive materials for compliance, continuity, and institutional memory—adhering to nonprofit record‑keeping best practices. Corporate Formalities (as applicable) Verify signatures on key documents. File required governance documents, and manage proxies during member meetings. Qualifications & Skills

Strong organizational skills with meticulous attention to detail. Ability to facilitate complex team conversations to move a diverse team forward. Excellent written communication and minute‑taking capabilities. Familiarity with nonprofit governance, board processes, and digital collaboration tools. Ability to prioritize tasks, coordinate across time zones (U.S., Europe, Nepal, and other regions), and meet deadlines consistently. Flexibility and adaptability to meet the needs of a growing nonprofit with evolving priorities. Global cultural sensitivity and ability to work respectfully across diverse teams and backgrounds. Time Commitment (5.5 - 6 hours/month)

Monthly Board Meetings: ~1.5 hours (plus preparation time 1 hr) Ad hoc Meetings: Scheduled as-needed for closed board or task-team discussions.
