Associate Attorney
to join its innovative
Corporate Finance & Capital Markets practice . This is an outstanding opportunity to be part of a leading transactional team known for its deep industry knowledge, global reach, and cutting-edge deal execution across sectors including asset management, private credit, private equity, and life sciences. Candidate Profile
JD
from a
top-tier law school
with a
strong academic record . Active Bar Admission
in the District of Columbia , in good standing. 3+ years
of substantive experience in
capital markets transactions . Experience
representing issuers ,
underwriters , and
placement agents
in
public offerings
and
private placements of securities . Proficiency in
securities law compliance , including the
Securities Act of 1933
and the
Securities Exchange Act of 1934 . Familiarity with
business development companies
(BDCs),
registered closed-end funds , and other
1940 Act entities
is a
plus . Demonstrated ability to manage complex transactional workflows from diligence through closing. Large law firm
experience
strongly preferred. Strong drafting skills, commercial judgment, and a detail-oriented approach. Key Responsibilities
Represent
issuers ,
underwriters , and
sponsors
in
equity and debt offerings ,
private placements , and other
securities transactions . Draft and negotiate
offering memoranda, registration statements, underwriting agreements, and other
transactional documents . Advise clients on
compliance
with
federal securities laws
and
regulatory filings
under the
1933 Act
and
1934 Act . Work on a variety of capital-raising transactions, including
IPOs ,
follow-on offerings ,
high-yield
and
investment-grade debt offerings , and
sovereign bond deals . Collaborate with attorneys across corporate, tax, and regulatory teams to structure and execute cross-border offerings and capital markets transactions. Why Join Us?
