Our law firm is seeking a highly experienced Senior Tax Executive Compensation, Employment, and Benefits Associate Attorney to join our team in Menlo Park, CA. The ideal candidate will have substantial expertise in executive compensation, employee benefits, and related tax and securities laws. You will provide counsel on transactional matters and represent companies on compensation disclosure issues.

Duties
  1. Provide legal counsel and strategic advice on executive compensation and employee benefits.
  2. Conduct legal research and analysis related to tax implications, securities laws, and other relevant regulations.
  3. Draft and review agreements, plans, and policies concerning executive compensation, employment, and benefits.
  4. Advise clients on compliance with applicable laws including ERISA, IRC, and SEC rules.
  5. Assist in structuring and negotiating compensation arrangements in corporate transactions and mergers/acquisitions.
  6. Represent clients in negotiations, mediations, and dispute resolution proceedings related to executive compensation and benefits.
Requirements
  • Minimum of 5 years of legal practice focusing on executive compensation and employee benefits.
  • Strong understanding of tax laws, securities regulations, and related legal frameworks.
  • Experience advising corporate clients on compensation disclosure issues.
  • Proven track record handling transactional matters related to executive compensation and benefits.
  • Excellent communication and negotiation skills.
  • Juris Doctor (JD) from an accredited law school.
  • Admission to the California State Bar or eligibility via waiver.
