AbbVie is seeking a dynamic Corporate Governance Senior Paralegal to join the Legal Division's Corporate Governance group. This position reports to the Counsel, Securities and Governance, and plays a key role in managing subsidiary corporate governance while supporting various projects. We welcome applicants ready to make a significant contribution across diverse global regions. Core Responsibilities
Lead the maintenance and oversight of AbbVie's global affiliates including offshore locations such as Puerto Rico, the Cayman Islands, and Bermuda. Prepare and review documents like consents, resolutions, certifications, and minutes requiring signatures of corporate officers; escalate documents needing further review to attorneys. Identify and address governance needs within AbbVie's structure, considering evolving regulations and corporate priorities. Manage reviews of corporate entities with third-party providers, outside counsel, and internal stakeholders to ensure accurate records. Manage subsidiary records and the entity management system, keeping information current. Lead liquidation, restructuring projects, ensuring compliance with legal requirements. Coordinate actions at the subsidiary level with internal and external teams; support finance, tax, and treasury efforts. Supervise and mentor one direct report, supporting teams across JAPAC, MEA, LATAM. Oversee electronic and physical record management as Record Management lead. Identify opportunities to improve efficiencies in related tasks. Assist with administrative tasks, contact list updates, and data verification. Take on special projects or additional responsibilities as needed. Qualifications
Bachelor's Degree and/or ABA-approved Paralegal Certificate. Minimum of 5 years experience in a law firm or corporate legal department, preferably in corporate governance. Skills & Knowledge
Experience managing a direct report. Strong team player with flexibility and commitment. Discretion and effective communication skills. Excellent organizational, project management, and multitasking abilities. Proactive, enthusiastic, with a customer service mindset. Ability to work across global enterprise and cultures. Familiarity with entity organization tools (e.g., Diligent, iManage). Additional Information
The salary range is $82,500 - $157,500, based on location and experience. Benefits include health insurance, 401(k), paid time off, and participation in incentive programs.
