Duties:
- Advise clients on corporate structuring and governance for corporations and LLCs
- Draft and negotiate investor agreements, including convertible notes, SAFE instruments, and preferred equity offerings
- Lead or support entity formation, corporate compliance, and governance matters
- Handle M&A transactions, including due diligence and timeline management
- Draft complex LLC operating agreements involving preferred equity structures
- Structure and negotiate partnership and LLP agreements, including those governed by California law
- Conduct corporate finance transactions across various industry sectors
- Collaborate with attorneys across practice areas for comprehensive client support
- Contribute to business development, including blog writing and client communications
- Participate in shaping the firm's strategic direction and community involvement
Requirements:
- Minimum 3 years of experience with corporate and LLC transactional matters
- Proven experience with venture-backed and angel-backed financings
- Strong organizational and drafting skills, with attention to legal detail
- Ability to manage multiple projects in a fast-paced environment
- Excellent client relationship skills
Education:
- Juris Doctor (JD) from an ABA-accredited law school
Certifications:
- Active and in good standing with the State Bar of California
