Position Summary

We are seeking a highly motivated Corporate Counsel with 3–5 years of experience at a top-tier law firm to join our growing legal function. This role will focus on contract drafting and negotiation as well as corporate compliance. You will be instrumental in helping us scale our operations while managing legal risk and enabling innovation. It is critical that this person is highly business-friendly and practical—able to support a fast-paced and lean team with clear, solutions-oriented legal guidance. Key Responsibilities

• Contracts:
• Draft, review, and negotiate a wide range of commercial agreements, including MSAs, CTAs, NDAs, consulting, SaaS, supply, vendor, and other agreements.
• Partner cross-functionally with clinical operations, BD, and HR to support contract needs across the business.
• Help refine and maintain contract templates and playbooks.
• Compliance:
• Support implementation and enhancement of corporate compliance programs, including policies related to healthcare laws (e.g., fraud and abuse, anti-kickback, Sunshine Act) as well as data privacy laws.
• Monitor legal and regulatory developments and assist in risk mitigation efforts.
• Support internal trainings and compliance documentation.
• Corporate & General Support:
• Assist with legal entity governance, board and corporate records, and equity matters.
• Support due diligence and document management related to collaborations, and strategic transactions.
• Help manage outside counsel and legal operations as needed.

Qualifications

• J.D. from an accredited law school and active membership in at least one U.S. state bar.
• 3–5 years of relevant experience at a nationally recognized law firm (in-house experience a plus).
• Strong contract drafting and negotiation skills.
• Solid understanding of U.S. healthcare regulatory and compliance frameworks.
• Ability to manage multiple priorities in a fast-paced, entrepreneurial environment.
• Excellent communication, collaboration, and judgment.

Preferred Qualifications

• Experience advising life sciences companies (especially in clinical-stage biotech).
• Familiarity with GxP, HIPAA, or FDA regulations as well as applicable data privacy laws.
• Experience supporting compliance or privacy functions.
