Duties:

• Advise public companies on securities regulation, compliance, and governance.
• Provide counsel on Exchange Act disclosures and governance standards.
• Draft and review SEC filings, including annual reports and proxy statements.
• Assist with regulatory inquiries and governance processes.
• Conduct legal research and strategic recommendations on securities law.
• Collaborate on corporate governance strategies.
• Support business development and client relationships.

Requirements:

• 3-5 years of experience in securities regulation and governance.
• Strong academic credentials.
• Experience advising public companies on disclosures and governance.
• Excellent research, writing, and analytical skills.
• Eligible for California State Bar admission.

Education:

• J.D. from an accredited law school (preferably 2020–2022).

Skills:

• Understanding of securities regulation, including the Securities Exchange Act.
• Expertise in corporate governance and public reporting.
• Strong communication skills.
