Base pay range

$167,000.00/yr - $233,000.00/yr

Meta is seeking an experienced Lead Corporate Counsel to join the Legal department’s corporate team.
Lead Corporate Counsel Responsibilities:

  • Assist with preparation of SEC and other corporate regulatory filings, with emphasis on proxy statements
  • Advise on complex securities law compliance and disclosure matters, with emphasis on governance and investor-facing disclosures
  • Support shareholder engagement efforts, including with respect to Rule 14a-8 proposals, and coordination of annual shareholder meeting
  • Assist in corporate governance matters, including oversight of corporate policies and preparation of board and committee materials
  • Work with cross-functional teams to build and enhance internal processes
  • Coordinate with and manage outside corporate counsel
  • Distill complex legal matters into actionable advice
Minimum Qualifications:
  • J.D. degree (or foreign equivalent)
  • Active membership in at least one US state bar and eligibility to obtain registered in-house counsel status (if required by the State Bar in the assigned work location)
  • 5+ years of legal experience as a practicing attorney, including at a law firm and/or in-house or government experience
  • Demonstrate business judgment and client counseling skills
  • Effective communication skills
  • Corporate and transactional experience with public companies. Emphasis on SEC and regulatory compliance, corporate governance, and shareholder engagement
  • Experience leveraging organizational and communication skills and strategic thinking, and experience working both independently and with cross-functional teams
  • Demonstrated pattern of roles with increasing responsibility
  • Experience operating independently in a fast-paced environment and work proactively with various teams across the organization, including policy, investor relations, corporate communications, and finance
Preferred Qualifications:
  • In-house experience and prior AmLaw 100 law firm experience
  • Demonstrated experience working on complex securities and corporate matters for Fortune 100 companies
