Position Overview:
You will report to StepStones Chief Legal Officer and will engage in a broad range of general corporate and securities law matters as well as litigation management and insurance management. You will have managerial responsibilities for up to two attorneys and a paralegal, depending on your level of experience.
Essential Job Functions:
You will work with senior management as well as the corporate finance and accounting, internal audit, tax, compliance, corporate communications, investor relations and human resources teams to advise on a range of matters, including:
- U.S. Securities Act and Exchange Act reporting
- Public company compliance-related matters, including management of relevant policies and procedures
- Board of directors and committee matters, including serving as assistant corporate secretary to StepStone and a number of its subsidiaries
- Investor relations and corporate communications matters
- Securities issuances and other corporate finance transactions; equity-related plans and related matters
- Corporate development and mergers & acquisitions; formation of new corporate entities in various jurisdictions, including outside the United States
- Review/negotiation of a range of commercial agreements
- Management of litigation matters and disputes
- Management of intellectual property (trademark) portfolio and related matters
- Management of corporate insurance matters
- Oversight of one attorney handling labor & employment matters and another attorney handling general corporate matters, as well as a paralegal
Qualifications:
- Four-year college degree and law degree from a top-tier accredited U.S. law school
- Approximately 7 to 12 years of large law firm and in-house legal experience
- Depth in counseling public companies with respect to U.S. securities laws/regulations and corporate governance matters
- Broad-based corporate law experience, preferably including within an in-house environment
