Pillsbury Winthrop Shaw Pittman LLP is seeking an experienced attorney to join our Corporate & Securities group in the New York office as Special Counsel in our M&A and Private Equity practice. This role is ideal for candidates with at least 8 years of transactional experience who are looking for an on-track senior-level position with meaningful client responsibility and the opportunity to help lead complex matters. Candidates should be confident advising corporate clients and private equity sponsors on acquisitions, dispositions, joint ventures, minority investments, and other strategic transactions. Required Minimum Qualifications: Minimum of 8 years of transactional experience, with at least 5 years of immediate past experience focused exclusively on M&A and private equity transactions. Demonstrated ability to independently manage deals from term sheet to close, including drafting and negotiating core transaction documents. Strong knowledge of corporate law and prevailing market terms, and sound judgment as to when partner and specialist input is necessary on complex transactions. Entrepreneurial mindset, client-service orientation, and the ability to work with a high degree of autonomy. Excellent academic credentials and superior written and oral communication skills. JD from an ABA-accredited U.S. law school. Admission to and good standing with the New York Bar is required. Prior experience at an Am Law 50 firm is preferred. This position offers significant client contact and the opportunity to contribute to business development efforts within the group.
