Corporate MampA Attorney

A law firm seeks an experienced Corporate Attorney to join its Chicago, IL office. This is an excellent opportunity for a skilled transactional attorney with at least four years of M&A experience, ideally in private equity buy-side representation. In this hybrid role, the attorney will work closely with high-performing teams on complex M&A transactions, including those involving representations & warranties insurance (RWI), while also having the chance to expand their leadership and business development skills. Duties: Lead M&A due diligence teams and manage negotiations as a key player in transactions, especially those involving RWI. Serve as part of a Tier 1 Private Equity M&A team while also taking the lead in transactions representing RWI underwriters. Coordinate cross-functional teams of subject matter experts to address complex deal issues. Use technology and support staff to enhance efficiency and the quality of work product throughout the deal process. Foster business development by building relationships with clients and potential clients in the M&A space. Support deal teams in all phases of M&A transactions, from initial negotiation through closing. Contribute to the growth of the firm’s M&A-adjacent practice area. Requirements: At least 4 years of transactional experience, particularly in M&A with a focus on private equity buy-side transactions. Proven ability to lead M&A due diligence and negotiation teams. Experience in managing M&A transactions involving RWI is preferred. Strong business development skills with a growth mindset for both practice and client development. Proficiency with modern collaboration software, such as Teams, Office 365, and similar tools. Excellent communication, organizational, and problem-solving abilities. Proven success in coordinating and working with diverse teams on complex transactions. Education: Juris Doctor (J.D.) from an accredited law school. Certifications: Admission to the bar in the state of Illinois or eligibility to become licensed. Skills: Strong background in corporate M&A transactions, particularly in private equity buy-side deals. Advanced negotiation skills and experience in leading due diligence processes. Proficiency with transactional technology tools, including real-time collaboration software. Strong leadership and teamwork abilities, with a focus on business development.
