Special Counsel

Supervise associates in representing key parties in interest in chapter 11 bankruptcy cases and out-of-court restructurings of distressed companies. Participate and lead client origination efforts, including statutory creditors' committees, ad hoc groups of creditors, and significant creditors of distressed or bankrupt companies, and other significant parties in interest, including U.S. States, in complex bankruptcy cases, out-of-court restructurings and other distressed situations. Draft, review, and negotiate term sheets, cooperation agreements, settlement agreements, and documents related to bankruptcy including bankruptcy plans, debtor-in-possession financing agreements, disclosure statements, funding agreements, and reimbursement agreements, for both in and out of court distressed company restructurings. Investigate liens on secured debt claims against companies in or at the verge of bankruptcy. Represent and appear on behalf of creditors, debtors, directors and officers in litigation in bankruptcy court, federal courts, and state courts. Provide mentorship and training to junior associates and paralegals. Speak at bankruptcy and finance events, network with clients, deliver pitches, and contribute to the firm's publications to enhance firm's reputation and showcase expertise. Requirements: Juris Doctor (J.D.), Master of Laws (LL.M.) or foreign equivalent, and 2 years of experience in position offered or as an Associate Attorney at a law firm with annual revenue in excess of $300 million. All of the required experience must have included experience with: advising and assisting in the representation of creditors' committees, ad hoc creditor groups, major secured and unsecured creditors, and debtors, in complex bankruptcy cases, out-of-court restructurings and distressed situations requiring restructuring, utilizing knowledge of relevant domestic and international bankruptcy and commercial laws; drafting and reviewing term sheets, cooperation agreements, and settlement agreements related to bankruptcy; drafting and reviewing chapter 11 plans, disclosure statements, and reimbursement agreements for both in and out of court distressed company restructurings; representing creditors, debtors, directors and officers in litigation, including appearing in court proceedings, drafting and reviewing pleadings, adversary complaints, motions for standing to prosecute claims, and other pleadings, and drafting and filing briefs in bankruptcy appeals; investigating validity of secured creditors' liens in chapter 11 cases; and reviewing credit agreements, secured and unsecured notes indentures, lien and security documents, and related agreements. Must be admitted to New York State Bar. This role entails hybrid work, with time split between working in our New York, NY office and flexibility to telecommute from another U.S. location.
