The Commercial Contracts Counsel will be responsible for drafting, reviewing, and negotiating a variety of commercial agreements that support the corporations' operations, sales, and supply chain functions. This role works closely with internal stakeholders to ensure contracts align with company objectives and comply with applicable laws and regulations. The ideal candidate has a strong background in commercial transactions, excellent communication skills, and the ability to manage multiple priorities in a fast-paced corporate environment.
Key Responsibilities Draft, review, and negotiate commercial agreements, including vendor contracts, customer agreements, service agreements, confidentiality agreements, and licensing agreements. Provide legal advice to business units on contractual rights, obligations, and risk allocation. Collaborate with procurement, sales, operations, and compliance teams to align contract terms with business goals. Support the bid/RFP process by reviewing requirements, identifying legal risks, and ensuring compliance with applicable laws, including government procurement regulations. Develop and maintain contract templates, playbooks, and best practices to improve efficiency and consistency. Conduct legal research to support commercial contracting and regulatory compliance. Manage contract approval workflows and maintain organized records of executed agreements. Provide training to internal stakeholders on contract policies and procedures.
Qualifications Juris Doctor (JD) from an accredited law school. Active license to practice law in at least one U.S. jurisdiction. 2+ years of experience in commercial transactions, preferably in a corporate legal department or law firm. Strong understanding of contract law, commercial terms, and negotiation strategies. Experience with government contracts and procurement regulations a plus. Excellent written and verbal communication skills. Strong business acumen, organizational skills, and attention to detail. Ability to work independently and manage multiple projects simultaneously.
