We're actively seeking a talented Senior Paralegal I to join our Corporate Law team in Newport Beach, CA.
As a Senior Paralegal I, you'll play a key role in Pacific Life's growth and long-term success by working closely with attorneys and other members of the Office of General Counsel (OGC) on various corporate transactions and advising business clients throughout Pacific Life. We are seeking an experienced paralegal with law firm and/or in-house legal experience to provide transactional legal support for a wide array of corporate and affiliate transactions in areas such as finance, capital markets, M&A, and reinsurance. You will report to a Vice President & Associate General Counsel responsible for Treasury, M&A, and Reinsurance matters in the Corporate Division. Your colleagues will include attorneys, paralegals, and professionals in the OGC, as well as in Corporate Treasury, Pacific Life Re, Corporate Development, Reinsurance, Financial Reporting, Institutional Division, and Corporate Secretary's Office. You will work independently on law-related activities including drafting and reviewing legal agreements, disclosure documents, corporate resolutions, conducting legal and regulatory research, legal due diligence, and coordinating regulatory filings under the supervision of an attorney. You will have the opportunity to collaborate extensively with experienced professionals across Pacific Life's domestic and international offices and with members of the OGC.
How you'll help move us forward :
Draft, review, and negotiate agreements including NDAs, LOIs, banking and finance agreements, and other ancillary agreements for various corporate transactions
Provide lead paralegal support for M&A, finance, and capital markets transactions, including working with outside counsel
Maintain, improve, and deploy legal diligence repositories for corporate transactions
Prepare and file insurance and other regulatory filings with state and federal regulators
Provide KYC support for Treasury and Corporate Secretary's Office
Act as a key resource for clients and colleagues and oversee the work of other staff members
The experience you bring :
Bachelor's degree from an accredited 4-year college/university or Paralegal Certification or equivalent work experience
More than 5 years' experience as a corporate transactional paralegal
Experience in insurance and/or financial services industry preferred; law firm experience in a corporate transactional role is a plus
In-depth knowledge of corporate transactions in areas such as finance, capital markets, M&A, or reinsurance
Excellent verbal and written communication skills; ability to analyze and recommend solutions to complex problems and communicate effectively with peers, senior executives, and external partners
Ability to work independently on multiple projects and prioritize effectively
Leadership experience in managing large legal projects
Strong interpersonal skills to build and maintain effective relationships
Strong attention to detail and organizational skills
Motivated to develop professionally and learn new skills
What makes you stand out :
Paralegal certification
Experience in law firms or in-house roles working on significant corporate transactions such as M&A, securities offerings, or financing agreements
Technical proficiency with Office 365 applications, Outlook, SharePoint, and Teams for communication, document management, and collaboration; ability to streamline processes and improve efficiency using these tools

Base Pay Range :
The company's good faith minimum and maximum range at the time of posting is $100,530.00 - $122,870.00. Actual compensation will depend on experience, qualifications, and location. Most employees are eligible for additional incentive pay.
