This position reports to the corporate secretary in the governance practice group and involves working on SEC filings, insider trading compliance, equity issuances, entity management, and Board of Directors governance. Regulatory Compliance and Governance: Prepare and review SEC filings, including proxy statements and periodic reports, and assist with the Annual Shareholder Meeting. Maintain policies related to securities law compliance and disclosure. Advise and assist PGE's board and committees, including preparing meeting materials and taking minutes. Provide legal advice on corporate governance policies and support the corporate secretarial functions. Oversee insider trading program operations and compliance. Support entity management functions, including registrations and subsidiary governance. Communication and Public Relations

Review and advise on external communications, including earnings releases, press releases, and investor presentations. Transactional Support

Support corporate and capital markets transactions. Coordinate with outside counsel and internal clients, managing outside counsel work and costs effectively. Job Function Summary Provide legal services related to SEC filings, NYSE compliance, governance, equity transactions, due diligence, legal analysis, client education, and risk management. Additional Responsibilities

Provide legal counsel on complex issues, using precedent to develop company positions and mitigate risks, involving outside counsel as needed. Identify and assess legal risks, recommending approaches based on policies and guidelines. Recommend outside counsel, propose budgets, monitor work quality, and manage costs. Prepare and review legal documents, providing analyses and interpretations. Suggest improvements and participate in company and department committees. Provide legal updates and advice to internal stakeholders. Represent PGE in external communications with government agencies and third parties, building industry relationships. Education, Experience, and Certification

Juris Doctor degree required. Typically four or more years of related experience. Admitted to the Oregon State Bar.
